Chapter I General Provisions
Article 1
The name of the association is ˇ§Taiwan Association of Orthodontistsˇ¨ (hereinafter referred to as ˇ§the Associationˇ¨), abbreviated as ˇ§TAOˇ¨.
Article 2
The purposes of the Association are listed below:
Promoting the research, training and medical standards of the orthodontics;
Establishing and maintaining the standards and interests of the specialty of orthodontics; and
Encouraging the international academic and cultural exchange of the orthodontics.
Article 3
The Association is located in the city where the Central R.O.C. Government is situated.
Article 4
The competent authority of the Association is the Ministry of Interior and the source of authority is the DOH (Department of Health) of the Executive Yuan.
Chapter II Missions
Article5
The missions of the Association are as follows:
Researching and developing the prevention, diagnosis and treatment of dental occlusion , dysplasia or dysfunction of jawbone and muscles of mastication, or the congenital craniofacial deformity;
Viewing, emulating, discussing, researching and studying the knowledge and technology in connection with the orthodontics;
Assisting the domestic orthodontics training institutes to set up the standards of specialty training of orthodontists;
Organizing the diplomate examination of the Taiwan Board of Orthodontics;
Holding academic seminars;
Setting up the orthodontics library and orthodontics information service center;
Strengthening the relationship, communications and exchange between and among the members of this Association;
Promoting to the general public the professional orthodontic treatment services;
Issuing the journal of orthodontics and the relevant periodicals; and
Encouraging the liaison and cooperation between and among the international orthodontics organizations.
Chapter III Membership
Article6
The members of the Association are classified into the following categories:
General member.
Relevant member.
Honorary member.
Senior member.
Student member.
Article7
A member who violates these Articles of Association or jeopardize the reputation of the Association may be cautioned or suspended from membership as resolved by the Board of Directors and Supervisors or expelled by resolution adopted by the General Membership Meeting.
Article8
All members of the Association are afforded the following rights:
The rights of election (active and passive), recall, vote and the right to speaking;
The rights to participating in the annual meetings and other meetings convened by the Association;
The rights to residing at or participate in the academic seminars for paper presentation, clinical demonstration, table display or giving comments;
The rights to rece iving free subscription ;
The access to the information in the library and the information service center set up by this Association.
* The rights specified in Item 1 of the foregoing do not apply to the relevant member, foreign honorary member and student member.
Article9
All members of the Association shall undertake the following obligations:
To abide by the Articles of Association and to perform the resolutions of this Association;
To pay membership fee and other relevant fees (the honorary member is exempted from this obligation);
To take charge of duties appointed by the Association;
To attend the activities held by the Association; and
To join the WFO.
Article10
In order to promote the standard of the specialty physician of orthodontics and perfect the training system, the Association has set up the system of specialty physician of orthodontics by referring to Article 7-1 of the Physicians Act and the Regulations Governing Specialties and Diplomate Examination of Specialty
Physicians formulated by DOH. Any orthodontist who meets the qualification set forth in the Regulations Governing the Diplomate Examination of the Taiwan Board of Orthodontics enacted by the Association may apply for the Diplomate of the Taiwan Board of Orthodontics and report to the competent authority for records. The Regulations Governing the Diplomate Examination of the Taiwan Board of Orthodontics will be enacted separately.
Article11
The qualification, entry and withdrawal of membership for student member will be governed by the rules separately enacted.
Chapter IV Organization and Power
Article12
The General Membership Meeting is the supreme power organization in the Association. The Board of Directors is the executive body in the Association and the Board of Supervisors is the supervisory body.
Article13
The Association shall have seventeen directors, five standby directors, five supervisors and one standby supervisor, all to be elected from and among members at the General Membership Meeting. The foregoing directors and supervisors may be elected by way of mail ballot. Regulations for the mail ballot will be adopted by the meeting of the Board of Directors and then implemented after these regulations are reported to the competent authority for review and approval.
Article14
The Board of Directors consists of five standing directors, all to be elected from and among directors at a Meeting of Board of Directors. The Board of Directors of the Association shall have a Chairman to be elected from the standing directors by the directors at a Meeting of the Board of Directors. Chairman of the Association shall represent the Association externally, manage the meeting affairs and preside over all of the meetings. Chairman of the Association may designate two standing directors as the deputy Chairmen. In case the Chairman is unable to carry out his/her duties, the deputy Chairman shall carry out the Chairman's duty as his/her proxy. In case both the deputy Chairmen are unable to carry out their duties, a proxy must be elected from and among the standing directors.
Article15
The Board of Supervisors shall have one standing supervisor to be elected from and among supervisors at a Meeting of Board of Supervisors
Article16
Directors and supervisors of the Association are unpaid positions.
Article17
The office term of directors and supervisors is two years and they may renew the term of office if re-elected. The Chairman and the standing supervisor will be eligible for re-election once.
Article18
In case of any of the following situations, directors and supervisors of the Association should be dismissed or relieved immediately:
Disqualification of membership;
Resignation approved by Board of Directors and Supervisors;
Discharge of positions by resolutions at the General Membership Meeting due to the breach of law or other material misconduct; or
In cases where a director/supervisor is absent without due course for two consecutive times for the Meeting of Board of Directors and Supervisors. Absence twice will be considered as being absent without due course once.
Article19
The Association shall have one secretary general and several deputy secretaries general, all of which are unpaid positions. In addition, the Association shall have several working staff, all to be nominated by the Chairman and employed or dismissed by the Board of Directors. In employing and dismissing the secretary general, the Association shall report to the competent authorities for approval.
Article20
In the event that directors and supervisors are dismissed or relieved, the vacancies are to be filled by the standby directors and supervisors respectively and t o fulfill the unexposed term of office of the predecessor.
Article21
In the event of business need, the Association may establish various committees. The organization of these committees will be enacted by the Board of Directors and then reported to the competent authority for review and approval.
Article22
The Association may retain consultant(s), nominated by the Chairman and approved at the Meeting of Board of Directors and Supervisors.
Article23
The powers of the General Membership Meeting of the Association are listed below:
Adoption of and amendment to the Articles of Association;
Election of director and supervisor;
Resolution of annual plan of operations;
Resolution of working report for meeting affairs;
Resolution of annual budget and final accounts;
Resolution of important motions;
Resolution of disposal of properties; and
Determination of other important matters.
Article24
The functions and responsibilities of the Board of Directors shall be as follows:
Approving the entry and withdrawal of membership;
Convention of the General Membership Meeting and implementation of resolutions adopted by the General Membership Meeting;
Election of standing directors and Chairman;
Drafting annual report of operations;
Drafting and implementing the annual budget and final accounts;
Employment or dismiss of working staff; and
Dealing with other matters related to meeting affairs.
Article25
The functions and responsibilities of the Board of Supervisors shall be as follows:
Supervision of the implementation of the resolutions of the General Membership Meeting;
Supervision of the implementation of the missions of the Board of Directors;
Review of the annual budget and final accounts;
Supervision of the financial affairs and assets of the Association; and
Other relevant matters.
Chapter V Meetings
Article26
General Membership Meetings are divided into regular meetings and special meetings, both of which are called by the Board of Directors. The regular meeting is held annually and the special meeting is held when considered necessary by the Board of Directors or requested by letter from the Board of Supervisors or by at least one fifth of members.
Article27
The General Membership Meeting shall be attended by a majority of the members. However, any of the following decisions will take effect only when approved by at least three fourths of the members present or consented in writing by two-thirds of the members.
Amendment to the Articles of Association;
The resolution to expel the members from the Association;
Dismissal of directors and supervisors;
Disposal of properties;
Dissolution of the Association; and
Other important matters in connection with the members' rights and obligations.
Article28
Meeting of Board of Directors of the Association shall be held at least once every three month and convened by the Chairman. Special meeting of Board of Directors may be held if the Chairman considers necessary, suggested by one-thirds of the Directors, or requested by the Board of Supervisors. All of the above-mentioned meetings shall be presided over by the Chairman. If the Chairman is unable to carry out his/her duties, a standing director may be designated by the Chairman as his proxy. In the absence of such designation, the standing directors shall elect from and among themselves.
Article29
The meetings of Board of Directors of the Association shall require presence of no less than half of directors.
Article30
Meeting of Board of Supervisors of the Association shall be held at least once every three month, convened by the standing supervisor and requires the presence of no less than half of supervisors.
Article31
A joint meeting and a provisionary meeting may be convened when considered necessary by the Meeting of Board of Directors and Supervisors.
Chapter VI Funds and Accounting
Article32
The source of the Association's funds includes:
Enrollment fee;
Annual fee;
Accumulated interest of the funds;
Donation;
Subsidies; and
Other incomes.
Article33
Fees as referred to in Items 1 & 2 of the foregoing Article shall be collected after the resolution by the Board of Directors and the adoption by the General Membership Meeting.
Article34
The fiscal year of the Association shall begin on January 1 st and end on December 31 st of the same year.
Article35
After the Association is dissolved, the residual property thereof shall be handled as per relevant laws, not belonging to any individual or private enterprise in any way whatsoever, and shall be vested in the autonomous agency at the place when the Association is located or the government.
Chapter VII Cease, Withdrawal and Suspension
Article36
For members who fail to pay the membership fee within one year, their membership will be suspended. Members who still fail to pay up their membership fees for two consecutive years after receiving the reminder letter will be considered withdrawn.
Article37
Members' rights and obligations will be ceased but the right to reverting their membership will be reserved if they apply for the cease due to reasonable causes.
Article38
When members apply for the cease or withdrawal, the fees previously paid will not be refunded.
Article39
Members must pay up all of the unpaid membership fees before applying for reversion.
Article40
If the education credit points completed by the members are not sufficient, these members' rights will be suspended in accordance with the ˇ§Regulations Governing the Identification of Continuing Education Hours and Standards for Taking Courses by Members of the Taiwan Association of Orthodontistsˇ¨.
Article41
If members are disqualified because of their suspension, their rights may be reverted once they have taken more credit points and submitted their application to the Board of Directors for approval.
Chapter VIII Supplementary Provisions
Article42
The operation regulations of the Association are enacted by the Board of Directors.
Article43
Matters not provided in these Articles of Association shall apply to the relevant laws and regulations or be submitted to the General Membership Meeting for amendment to these Articles.
Article44
These Articles were agreed upon and effective upon the approval by the Ministry of Interior. The same shall apply to the amendment.
